Yeti programme terms

Version of 2026-10-19

These terms govern the Yeti programme of The Climb, offered by The Tech Nation S.L., a private limited company under Spanish law, tax ID (NIF) B19412451, Passeig de Gràcia 2, 08007 Barcelona, España, registered with the Registro Mercantil de Barcelona ("The Tech Nation"). Contact: jeremie@the-tech-nation.com.

1. Purpose

1.1. The Yeti programme allows a partner (the "Yeti") to present The Climb, the team AI training published by The Tech Nation, and to earn a margin on the subscriptions taken out through them.

1.2. These terms apply as soon as the Yeti activates their Yeti space or uses a Yeti link or code. They complement the terms of sale and use of The Climb.

2. Status of the Yeti

2.1. The Yeti is an independent partner. The Yeti is not an employee, agent or representative of The Tech Nation. There is no relationship of subordination between them.

2.2. The Yeti cannot bind The Tech Nation. The Yeti cannot conclude a contract, accept an order, collect a payment or make any commitment on behalf of The Tech Nation.

2.3. The Yeti organises their activity freely, at their own cost and under their own responsibility. The Yeti presents themselves as an independent partner of The Tech Nation.

3. Role of The Tech Nation

3.1. The Tech Nation remains the seller and the customer's contracting party. The subscription contract is concluded directly between the customer and The Tech Nation, under the terms of sale and use of The Climb.

3.2. The Tech Nation invoices the customer, collects the payment and provides the service. It may refuse an order for a legitimate reason.

3.3. The Tech Nation provides the Yeti with a Yeti space containing their tracked links, their codes, a prospect book, tracking of their customers and margins, and a sales kit. The Yeti also has access to The Climb training, like a customer, during the partnership, and can share feedback from their space.

4. Price offered to the customer

4.1. The Yeti sets the price offered to their customer, per person per month, excluding taxes, between the floor and the list price of €20 excluding VAT, in steps of €0.50.

4.2. Floor. The floor is the minimum price set by The Tech Nation, the same for all Yetis: €15 excluding VAT per person per month. From 200 Seats, it drops by €0.50 for every 100 Seats, without going below €9 excluding VAT.

4.3. Promotional floor. For any customer signed up to and including 30/11/2026 (Madrid time), the floor is €13 excluding VAT, with the same reduction based on the number of Seats. That customer keeps this floor for the whole of their subscription. From 01/12/2026, the normal floor applies to new customers.

4.4. Offer to the customer. The Yeti sends their price through a code or an offer link created in their space, which sets the price, the number of Seats and the period (3, 6 or 12 months; minimum commitment of 3 months, then monthly). The code can be used once and is valid for 30 days. The customer pays online, by card through Stripe.

4.5. Any price outside the range in article 4.1 requires The Tech Nation's prior written consent, requested by email.

5. Yeti margin

5.1. Calculation. Per Seat per month, the Yeti earns a share of the difference between the price paid by the customer and the applicable floor:

Part of the differenceYeti share
First €2100%
Next €350%
Beyond25%

5.2. Volume. The margin so calculated counts in full on Seats 1 to 100, at 60% on Seats 101 to 500, and at 35% above 500 Seats.

5.3. Upfront payment discount. The margin is calculated on the price before the 5% discount given to a customer who pays upfront.

5.4. Example. 40 people at €17 excluding VAT with a €13 floor: the difference is €4, the margin is 2 + 1 = €3 per person, or €120 per month.

5.5. Workshops. For each workshop sold by the Yeti, the Yeti earns 10% of the price excluding taxes paid by the customer.

5.6. Duration. The margin is due each month during the subscription taken out through the Yeti's link or code, then for as long as the customer renews through the Yeti's link.

5.7. The margin is only due on amounts actually paid by the customer. No margin is due on an amount that is unpaid or refunded.

6. Invoicing and payment of the margin

6.1. The Yeti issues an invoice to The Tech Nation for their margin, in line with the invoicing rules that apply to them.

6.2. When the customer pays by card, The Tech Nation pays the Yeti in the month after the customer's invoice is paid. Example: the customer's October invoice is paid in October, the Yeti's margin is paid in November.

7. Tax and social security obligations

The Yeti is solely responsible for their tax, social security and administrative obligations (returns, contributions, VAT, registration). The Tech Nation pays no contributions on the Yeti's behalf.

8. Fair dealing

8.1. The Yeti presents The Climb accurately and fairly. The Yeti makes no promise beyond the conditions published by The Tech Nation (terms of sale, prices, content of the service). The Yeti never presents the certificates as a diploma or a statement of compliance.

8.2. No spam. The Yeti follows the rules on commercial communications in each recipient's country. The Yeti does not send unsolicited commercial messages where the law requires the recipient's prior consent, and respects any request not to be contacted.

8.3. Prospect data. The Yeti complies with the GDPR and applicable laws in their prospecting. The Yeti is responsible for the data of their prospects that they enter in their prospect book and send through their links (names, contacts, notes). The Yeti informs their prospects, enters only necessary and accurate data, and deletes data that is no longer needed.

8.4. The Yeti uses the names, trademarks and materials of The Tech Nation and The Climb only to present The Climb, for the duration of the partnership, without altering them in a misleading way.

8.5. The Yeti keeps their access to the Yeti space and The Tech Nation's non-public information confidential.

9. Break and end of the partnership

9.1. Break. The Yeti can take a break at any time. Their links keep working. A Yeti with no activity for 60 days becomes "dormant" in their space, with no other consequence.

9.2. End. Either party can end the partnership at any time, by email, with 30 days' notice.

9.3. Immediate end. The Tech Nation can end the partnership without notice in case of serious breach by the Yeti, in particular a misleading promise, sending spam or a breach of the GDPR.

9.4. Effects. When the partnership ends, access to the Yeti space, links and codes are deactivated. Margins due on customer payments received before the end are still paid under article 6. Except where the partnership ends for serious breach, the margin remains due on customers already signed until the end of their current period (the first 3 months, or the period paid upfront).

10. Changes to these terms

The Tech Nation may change these terms. Changes are notified to the Yeti by email at least 30 days before they take effect. They do not apply to customers already signed during their current period. A Yeti who refuses them can end the partnership before that date.

11. Yeti data

The Tech Nation processes the Yeti's data (identity, organisation, contact details, application, activity of their links, customers, margins, invoices, feedback, training progress) to run the programme, pay margins and improve The Climb. The Yeti's name appears on pages opened through their links and codes. Details are in the privacy policy.

12. Liability

Each party is liable for its own breaches. The Yeti is liable for the consequences of their promises, their prospecting and their processing of prospect data.

13. Governing law, jurisdiction and language

13.1. These terms are governed by Spanish law.

13.2. The parties first seek an amicable solution for 30 days. Failing that, any dispute falls under the exclusive jurisdiction of the courts of Barcelona (Spain).

13.3. These terms are published in French, Spanish and English. In case of any discrepancy, the Spanish version prevails.
